Single Windows Business Registration

The companies division is one of several divisions of the Ministry of Justice responsible for the following:

  1. Registration of Sole proprietorships (individual business)
  2. Partnerships (Limited partnership, General partnerships, Firms)
  3. Companies (Private limited liability companies-companies limited by shares & Company limited by guarantee),(Public limited liability companies),(Branch of a foreign company-commonly known as External Companies) and (Unlimited companies-Associations, Clubs, Charitable Organizations & Foundations)

We register the above mentioned entities and issues them with business certificates and incorporation certificates as the case may be. All this process can be done within a day at our main office in Banjul or at our Sub-station in KMC. The following are the requirements for their registration.

REQUIREMENTS FOR THE REGISTRATION OF A SOLE PROPRIETORSHIP BUSINESS (INDIVIDUAL)

  1. Photocopy of Identity card / passport of Proprietor (owner of Business)
  2. Individual Tin Card
  3. Fill form SWR 3 ( Application Form)
  4. Registration fee: D500

REQUIREMENTS FOR THE REGISTRATION OF A PARTNERSHIP BUSINESS

  1. Apply for a name reservation.................D500
  2. Partnership Deed / Agreement
  3. Tin Card for the Partnership business
  4. Stamp duty at G.R.A........................D 1000
  5. Registration of the partnership deed at the office of The Registrar General, Ministry of Justice :D500
  6. Photocopy of Identity card / Passport of partners & Telephone Numbers
  7. Fill form SWR 7 (Application form)
  8. Registration fee: D5000 for a general partnership
  9. Registration fee: D10000 for a limited partnership

REQUIREMENTS FOR THE REGISTRATION OF A COMPANY

  1. Apply for a name reservation.............D500
  2. Articles & Memorandum od Association
  3. Tin Card for the company
  4. Photocopy of Identity card or Passport of shareholders / Directors & Telephone Numbers. If any of the shareholders / Direcctors is a non-resident, attach particulars of agent on his/her behalf in The Gambia.
  5. Fill form SWR 7 (Application form)
  6. Business Registration fee: D1000

Incorporation Fees:

  1. Share capital of up to D500,000.......................D10,000
  2. D500,000 to 1,000,000....................................D15,000
  3. D1,000,000 to 10,000,000...............................D20,000
  4. Share capital above D10,000,000....................D25,000
  5. For the registration of a company limited by guarantee......D5000

REQUIREMENTS FOR THE REGISTRATION OF A CHARITABLE ORGANIZATION/ASSOCIATION/FOUNDATION

Constitution

Last page to constitute name, address,telephone numbers & signatures of executive members

  1. Fill CO32 & CO33 form
  2. Attach photocopy of passport or ID card of President/Chairman and the Secretary.
  3. Fill form SWR 7 (application form)
  4. Tin Card for the Association
  5. Recommendation letter from BCC, KMC, BAC etc depending on the geographical location of the organization.

Registration fee

  1. D500 ( if community base)
  2. D2000 (if not community based)

Other functions of the division also include the general overseeing of companies and business to make sure that they comply with relevant provisions of The Companies Act and The Single Window Business Registration Act.

State's implementation of the International Covenant on Civil and Political Rights (ICCPR)

Following a 33 year delay, the Solicitor General and Legal Secretary from 5th to 6th July 2018 led a high level delegation comprised of officials from the Office of the President, Ministry of Justice, Ministry of Interior, Ministry of Basic and Secondary Education, Ministry of Health and Social Welfare and Women's Bureau to engage in dialogue with the Human Rights Committee on the recently submitted response to the List of Issues posed by the Committee on the State's implementation of the International Covenant on Civil and Political Rights (ICCPR).

Turkish Embassy Donates state of the art Computers and IT equipment to aid in the work of the Ministry of Justice.Turkish Ambassador announces further cooperation training exchanges between Attorney General's Chamber & Ministry of Justice and Turkish Justice Academy.The official handing over of the I.T equipments(Computers,Printers and UPS(Power Supply Connectors)) occured at the Ministry of Justice conference room where the materials where handed over by the Turkish Ambassador to the Attorney General and Minister of Justice(Hon. Abubacarr Tambadou),Tuesday,3rd October,2017.
